We may terminate your access to the Site and Marketplace Offerings or delete your account and any associated content or information at any time, without prior notice, at our sole discretion.
If your account is suspended or terminated for any reason, you are strictly prohibited from registering or creating a new account under your name, a fictitious or borrowed name, or on behalf of any third party, even if you are acting on their behalf. 18. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of Australia. Growmore Immigration and you irrevocably agree that the courts of Australia shall have exclusive jurisdiction to resolve any disputes that may arise in connection with these Terms.
19. DISPUTE RESOLUTION
Informal Negotiations
To facilitate a timely and cost-effective resolution of any dispute, controversy, or claim related to these Terms of Use (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), both Parties agree to first attempt to resolve the Dispute informally before initiating any formal legal action.
You agree to resolve any Dispute informally for at least thirty (30) days before initiating arbitration. Informal negotiations shall begin upon written notice from one Party to the other.
Binding Arbitration
Any Dispute arising out of or in connection with this agreement, including any questions regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the Australian Centre for International Commercial Arbitration (ACICA). The number of arbitrators shall be one (1). The seat, or legal place, of arbitration shall be Sydney, Australia. The language of the arbitration proceedings shall be English. The governing law of this agreement shall be the substantive law of Australia.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes shall not be subject to the informal negotiations and binding arbitration provisions outlined above:
- Disputes related to the enforcement, protection, or validity of a Party’s intellectual property rights.
- Disputes arising from allegations of theft, piracy, invasion of privacy, or unauthorized use.
- Claims seeking injunctive relief.
If any part of this provision is deemed unlawful or unenforceable, neither Party shall be required to arbitrate any Dispute falling within the unenforceable portion. Instead, such Disputes shall be resolved by a court of competent jurisdiction as specified in the governing law section, and the Parties agree to submit to the personal jurisdiction of that court.

As with any online or offline purchase, you should use your best judgment and exercise caution where necessary.
22. Limitations of Liability
To the maximum extent permitted by law, we, including our directors, employees, and agents, shall not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages. This includes, but is not limited to, loss of profit, revenue, data, or any other damages arising from your use of the Site or the Marketplace Offerings, even if we have been advised of the possibility of such damages.

Certain jurisdictions may not allow limitations on implied warranties or exclusions of certain damages. If such laws apply to you, some or all of the above limitations may not apply, and you may have additional rights under applicable law.
23. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all respective officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand—including reasonable legal fees and expenses—arising from:

YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND RECORDS, AS WELL AS THE ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND TRANSACTION RECORDS INITIATED OR COMPLETED BY US OR THROUGH THE SITE. You waive any rights or requirements under applicable laws that mandate an original signature, non-electronic record retention, or non-electronic methods of payment or credit transactions.
26. Miscellaneous
These Terms of Use, along with any policies or operational guidelines posted on the Site regarding the Marketplace Offerings, constitute the complete agreement between you and us. Our failure to enforce any right or provision within these Terms of Use shall not be considered a waiver of such rights or provisions. These Terms of Use shall be enforced to the maximum extent permitted by law. We reserve the right to transfer or assign our rights and obligations to others at any time. We are not liable for any loss, damage, delay, or failure to act due to circumstances beyond our reasonable control.
If any provision of these Terms of Use is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and will not impact the validity or enforceability of the remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms of Use or your use of the Marketplace Offerings. You acknowledge that these Terms of Use shall not be interpreted against us solely because we drafted them. Additionally, you waive any defences related to the electronic nature of these Terms of Use and the absence of physical signatures by the parties involved.
